These Terms and Conditions ("Terms") govern your access to and use of Brandli, including the website https://brandli.live and related services operated through Brandli ("Brandli", "we", "us", or "our").

By accessing or using Brandli, you agree to these Terms. If you do not agree, you must not use Brandli.

2. About Brandli

Brandli is a creator discovery and collaboration platform.

Brandli helps:
- creators and influencers create profiles and present their social media presence;
- brands, advertisers, and agencies discover creators;
- users connect and discuss potential collaborations;
- users evaluate creator profiles, audience size, engagement, pricing estimates, and other relevant information.

Brandli is not a party to collaboration agreements between creators and advertisers unless explicitly stated in writing.

Brandli currently does not process payments between creators and advertisers through the platform.

3. Eligibility

You must be at least 16 years old to use Brandli.

If you use Brandli on behalf of a brand, agency, organization, or other entity, you represent that you have authority to use Brandli on its behalf.

You must provide accurate and complete information when creating an account.

4. Account Registration

To access certain features, you may need to create an account.

You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity under your account;
- keeping your account information accurate and up to date;
- notifying us if you suspect unauthorized access.

We may suspend or terminate accounts that provide false information, violate these Terms, or misuse Brandli.

5. Account Types

Brandli may offer different account types, including:

5.1 Creator Accounts

Creator accounts are intended for influencers, content creators, public figures, and individuals or teams offering promotional or content collaboration services.

Creators may create profiles, connect social media accounts, display public metrics, receive inquiries, and communicate with brands or advertisers.

5.2 Brand, Advertiser, and Agency Accounts

Brand, advertiser, and agency accounts are intended for users looking to discover creators, evaluate profiles, and contact creators for potential collaborations.

6. Creator Profiles

If you create a creator profile, you agree that Brandli may display information you provide or connect to your profile, including:
- name or creator name;
- social media handles;
- profile photo;
- bio;
- categories and niches;
- follower or subscriber counts;
- engagement-related metrics;
- average views or performance indicators;
- estimated collaboration pricing;
- links to social media accounts;
- other profile information.

You are responsible for ensuring that your profile information is accurate, lawful, and not misleading.

Brandli may remove or restrict profiles that are inaccurate, fraudulent, misleading, inactive, abusive, or otherwise violate these Terms.

7. Social Media Connections

Brandli may allow users to connect accounts from third-party platforms such as TikTok, YouTube, Instagram, Google, Meta, or other services.

By connecting a social media account, you authorize Brandli to access and process information made available through that platform according to the permissions you grant.

You represent that:
- you own or are authorized to connect the social media account;
- the information you provide is accurate;
- your use of the connected account complies with the third-party platform's terms.

Brandli is not responsible for changes, errors, restrictions, outages, API limitations, or data limitations caused by third-party platforms.

8. Pricing Estimates

Brandli may provide estimated collaboration prices, suggested rates, or pricing ranges.

These estimates are for informational purposes only.

Brandli does not guarantee that:
- a creator will accept the estimated price;
- an advertiser will pay the estimated price;
- the estimate reflects market value;
- any campaign will achieve specific results.

Users are responsible for negotiating and agreeing on final commercial terms independently.

9. Collaborations Between Users

Brandli may help users discover and contact each other, but Brandli is not responsible for collaborations agreed between users.

Creators and advertisers are solely responsible for:
- negotiating campaign terms;
- agreeing on deliverables;
- agreeing on payment terms;
- complying with advertising and disclosure laws;
- approving content;
- delivering services;
- handling disputes;
- paying applicable taxes.

Unless expressly stated otherwise, Brandli is not a party to any agreement between creators and advertisers.

10. No Payment Processing

Brandli currently does not process, hold, escrow, guarantee, or mediate payments between creators and advertisers.

Any payment arrangement is made directly between the relevant users outside Brandli.

Brandli is not responsible for:
- unpaid invoices;
- failed payments;
- chargebacks;
- refunds;
- tax obligations;
- payment disputes;
- fraud between users.

If Brandli introduces paid features, subscriptions, commissions, escrow, or payment processing in the future, additional terms may apply.

11. Sponsored Content and Disclosure Obligations

Creators, brands, advertisers, and agencies are responsible for complying with applicable laws, advertising standards, consumer protection rules, and platform policies related to sponsored content and endorsements.

This may include clearly disclosing:
- paid partnerships;
- free products or services;
- gifts;
- affiliate links;
- commissions;
- brand relationships;
- other material connections.

Disclosures must be clear, prominent, and understandable to the relevant audience.

Brandli is not responsible for a user's failure to comply with advertising disclosure obligations.

12. User Content

"User Content" means any information, text, images, links, messages, profile data, campaign information, or other content submitted, uploaded, posted, or transmitted through Brandli.

You retain ownership of your User Content.

By submitting User Content to Brandli, you grant Brandli a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, display, modify, adapt, and distribute such content as necessary to operate, improve, and promote Brandli.

You represent and warrant that:
- you have the right to submit the User Content;
- the User Content is accurate and not misleading;
- the User Content does not infringe third-party rights;
- the User Content does not violate any law or regulation;
- the User Content does not contain malware, spam, or harmful code.

13. Prohibited Conduct

You must not:
- use Brandli for illegal, fraudulent, misleading, or harmful purposes;
- impersonate another person or organization;
- create fake creator, brand, or advertiser profiles;
- misrepresent follower counts, engagement, audience data, campaign results, or identity;
- scrape, copy, or harvest data from Brandli without permission;
- spam users;
- send abusive, threatening, discriminatory, or harassing messages;
- upload malware or harmful code;
- interfere with Brandli's security or operation;
- bypass access controls or rate limits;
- use Brandli to violate third-party platform rules;
- use Brandli to promote illegal products or services;
- infringe intellectual property rights;
- attempt to reverse engineer Brandli;
- sell, rent, or sublicense access to Brandli without permission.

14. Prohibited Campaigns and Content

Brandli may restrict or prohibit campaigns involving certain categories, including:
- illegal products or services;
- fraud, scams, or deceptive offers;
- hate, harassment, or extremist content;
- adult sexual services;
- weapons or dangerous goods;
- illegal drugs;
- counterfeit goods;
- misleading financial schemes;
- other content that Brandli considers harmful, unlawful, or inappropriate.

Brandli may remove, reject, or restrict any content, campaign, profile, or account at its discretion.

15. Platform Availability

We aim to keep Brandli available, but we do not guarantee uninterrupted or error-free operation.

Brandli may be unavailable due to:
- maintenance;
- updates;
- technical issues;
- third-party provider outages;
- API restrictions;
- security incidents;
- events beyond our control.

We may modify, suspend, or discontinue any part of Brandli at any time.

16. Third-Party Services

Brandli may contain links to or integrations with third-party websites, platforms, APIs, or services.

We are not responsible for:
- third-party content;
- third-party privacy practices;
- third-party terms;
- third-party availability;
- third-party data accuracy;
- actions or omissions of third-party platforms.

Your use of third-party services is governed by their own terms and policies.

17. Intellectual Property

Brandli, including its software, design, branding, logos, trademarks, databases, and other materials, is owned by Brandli or its licensors.

You may not copy, modify, distribute, sell, lease, or create derivative works based on Brandli without prior permission.

Nothing in these Terms grants you ownership of Brandli's intellectual property.

18. Feedback

If you provide feedback, ideas, suggestions, or recommendations about Brandli, you grant us the right to use them without restriction or compensation.

19. Future Paid Features

Brandli may offer paid plans, subscriptions, commissions, promoted listings, premium search, lead generation, analytics, or other paid features in the future.

If paid features are introduced, additional terms may apply.

20. Taxes

Users are responsible for determining and paying any taxes related to their collaborations, payments, business activities, or use of Brandli.

Brandli does not provide tax advice.

21. No Guarantee of Results

Brandli does not guarantee:
- that creators will receive collaboration offers;
- that brands will find suitable creators;
- that campaigns will generate sales, views, traffic, engagement, or revenue;
- that social media metrics are complete or accurate;
- that users will complete agreed collaborations;
- that any estimated price is correct.

Users make business decisions at their own risk.

22. Data Accuracy

Brandli may display follower counts, subscriber counts, engagement metrics, average views, or other data from third-party platforms.

Such data may be delayed, incomplete, unavailable, estimated, or inaccurate.

Brandli is not responsible for errors or changes in third-party data.

23. Suspension and Termination

We may suspend or terminate your account or access to Brandli if:
- you violate these Terms;
- you create risk or legal exposure for Brandli;
- your account is suspected of fraud, spam, or abuse;
- you misuse platform data;
- required by law;
- we discontinue the service.

You may stop using Brandli at any time.

Termination does not affect rights or obligations that arose before termination.

24. Disclaimer of Warranties

Brandli is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

25. Limitation of Liability

To the maximum extent permitted by law, Brandli and its operators, contributors, contractors, partners, and affiliates will not be liable for:
- indirect, incidental, special, consequential, or punitive damages;
- loss of profits;
- loss of revenue;
- loss of data;
- loss of business opportunities;
- reputational harm;
- campaign failure;
- user disputes;
- payment disputes;
- third-party platform issues.

To the maximum extent permitted by law, Brandli's total liability for any claim will not exceed USD 100.

26. Indemnification

You agree to defend, indemnify, and hold harmless Brandli from any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from:
- your use of Brandli;
- your User Content;
- your violation of these Terms;
- your violation of any law or regulation;
- your violation of third-party rights;
- your collaboration, campaign, or dispute with another user;
- your failure to disclose sponsored content or material connections.

27. Governing Law

These Terms are governed by the laws of Greece, unless applicable law requires otherwise.

Before starting formal legal proceedings, users agree to first attempt to resolve any dispute informally by contacting admin@brandli.live.

28. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify users by email, through Brandli, or by posting an updated version on our website.

Your continued use of Brandli after the updated Terms become effective means you accept the updated Terms.
